The Counterparts agree that: Art.1 Definition of subscriber: means the Customer who applies to the european service TIMEINEUROPE. There are two different types of subscribers: the public sector entities (e.g.: Local Government, District, etc…) following called Government, and the Private subscribers who operate on tourism sectors, following called Company. Art. 2 Commitments of the Principal The Principal undertakes to: • supply a service on an european basis, denominated TIMEINEUROPE ( an european tourism database). • supply on-line the services which are necessary to classify, search, organize and desclose the included information. • value the supplier’s request of cooperation, in order to search new subscribers, and consequently confirm the same request, if it should be valued positively, within 5 working days from the date of the request. • support the Supplier with all the information necessary to the promotional activities and to the subscribers research. Art. 3 Commitments of the Supplier The Supplier undertakes to: • search for subscribers, by any appropriate means, who are interested to promote their information and booking disposal with the service TIMEINEUROPE and to apply to it by Internet. • act by own means within the law and according to the laws of the European Community and of its Country Members. • communicate to TIMEINEUROPE any possible problem which should restrict or prevent the promotional activities. • propagate the conditions of agreement and supply related to the Service, according to what the Principal has defined. Art. 4 How to agree and supply the services: The unique way to subscribe to the Service is by Internet. The subscriber has the access to the Portal of TIMEINEUROPE through the suppliers, partner or directly through on-line services. When the subscriber uses link (mail, website or on-line) created by a supplier or partner, a personal code will be automatically included together with the subscriber’s Data, which enables to know the commercial source of the agreement. The subscriber fills out the application form containing all the information, which will be disclosed (subject to the subscriber’s agreement) and available for the search. The subscriber undertakes to respect the copyright laws, while TIMEINEUROPE is free from every responsability for the information included by the subscriber or for damages coming from it. The total responsability is charged to the subscriber. The supply of the service TIMEINEUROPE deals with the free use of a search engine about the european tourism,which is directly connected to the information included by the subscribers. The public, after having put the search keys, can look up in the operators list and, sorting out one or more of them, it is possible to find the complete touristic offers posted by the subscriber, the connection to the website (when exists), to the e-mail or the page containing the promotions list. TIMEINEUROPE can promote commercial activities, in order to publicize the database contents and to step up the number of the visitors, who are able to reach the information of the included subscribers. Art.5 Cost of the Service According to the typology of the subscriber, there are two different prices to enter inside the service of TIMEINEUROPE: Government subscribers: the inclusion of the information and the touristic links in the Database costs € 198,00 pro year, included V.A.T., and it can be renewed without communication. Company subscribers: the inclusion of the information, booking disposal and the touristic links in the Database it's free, the subscribers will pay only the 15% of each booking order provided from the service, the service can be renewed without communication. It is possible, as an optional, to buy the banners, the exposure costs € 0,04 included V.A.T. (at least one thousend unit or multiple. The prices of the application can be modified by TIMEINEUROPE, for business reasons. The subscriber, at the moment of the subsequently payment, has the right to accept the new fees or rescind the agreement according to the settled conditions. Art. 6 Agreements fees There are three different levels of fees, in proportion to the cost of the service: Government subscribers: € 20,00 pretax ( to which it must be deduct the 20% as tax, according to the italian law) for every agreement provided with the supplier code; this charge can be subsequently paid at the moment of the renewal, if the supplier, after the period of the occasional work done, became partner of the service TIMEINEUROPE. Company subscribers booking orders: 2% pretax ( to which it must be deduct the 20% as tax, according to the italian law) for each booking order related to every agreement provided with the supplier code; this charge can be subsequently paid , if the supplier, after the period of the occasional work done, became partner of the service TIMEINEUROPE. Banner: during the period of the cooperation, the supplier will receive a payment of € 0,01 pro banner ( to which it must be deduct the 20% as tax, according to the italian law), for every service purchased by a customer who agreed through the supplier code; for every order of impressions (1.000), the supplier will receive at least the sum of € 10,00 (to which it must be deduct the 20% as tax, according to the italian law). The supplier will be paid within the 15th of the month, by Paypal or by money-order and calculated until the last day of the previous month, according to the payments of the subscribers logged with the code of the supplier or partner. Art.7 Term of the Contract The present Contract is valid for one year, in the space of which and occasionally, the supplier can act and check the efficiency and the profitability of the service. At the conclusion of this, it will be possible to make a partnership agreement, under different conditions, to the business partner profit. If the partnership agreement is admitted by the former supplier within 30 days, all the royalties will be kept on the acquired customer according to the new conditions of the contract. Art.8 Cancellation of the Contract Both the counterparts can rescind the Contract, before the expiry of it, by registered letter with return receipt. Nothing will be due to the supplier for the applications made after the date of the cancellation request. Art.9 Dispositions and Place of Jurisdiction With regard to what above- stated and not specified, it can be followed the provisions of the italian law; every dispute falls within the competence of the Place of Jurisdiction of Sassari (Italy).
